Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Fapbric Technology Solutions, LLC, which operates RewardSpring (“RewardSpring,” “we,” “us,” or “our”), and govern your access to and use of RewardSpring (the “Service”), a platform that helps SaaS founders run affiliate-commission and customer-referral reward programs. RewardSpring connects to your Stripe account today, with more billing platforms coming soon. By creating an account, clicking to accept, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use by SaaS operators and their programs, not for personal or consumer use.

2. Description of the Service

RewardSpring lets you create affiliate and customer-referral programs, generate referral links, connect your Stripe account through Stripe Connect to read subscription and conversion data, calculate commissions and rewards, and host branded referral portals, including on your own custom domain. We provide software and tooling; we do not manage your relationships with your affiliates, partners, or customers.

3. Accounts and security

You must provide accurate, current information and keep it up to date. You are responsible for all activity under your account and for maintaining the security of your login credentials, including any passkeys, magic links, or one-time codes used to access the Service. Notify us promptly at hello@getrewardspring.com of any unauthorized use or suspected security incident.

4. Acceptable use and prohibited conduct

You agree not to, and not to permit anyone to:

• use the Service for any unlawful, deceptive, or fraudulent purpose, including creating fraudulent referrals, self-referrals, fake conversions, or otherwise manipulating reward calculations;
• operate pyramid schemes, multi-level marketing structures, or programs that mislead affiliates or customers;
• send spam or unsolicited messages, or otherwise violate anti-spam and marketing laws such as the CAN-SPAM Act, CASL, and the GDPR/ePrivacy rules;
• violate Stripe’s terms, applicable card-network rules, or any applicable law or third-party right;
• infringe intellectual property, misappropriate data, or upload malicious code;
• probe, scan, or test the vulnerability of the Service except through our responsible-disclosure process, or attempt to gain unauthorized access to any systems or data;
• interfere with, overload, or disrupt the Service, or circumvent usage limits, tenant isolation, or security controls;
• resell, sublicense, or provide the Service to third parties except as expressly permitted.

RewardSpring is a tool for legitimate private growth programs, not an open affiliate marketplace.

5. Your programs and your responsibilities

You are solely responsible for the programs you create, the reward and commission terms you set, and the commitments you make to your affiliates, partners, and customers. You are responsible for the legality of your programs and for providing your affiliates, partners, and customers with any required notices and terms, and for obtaining any consents needed to collect and process their personal data (including for the referral links, emails, and payout information handled through the Service). With respect to that personal data, you act as the controller and RewardSpring acts as your processor / service provider, as described in our Privacy Policy and any applicable Data Processing Addendum.

6. Stripe connection and payments

The Service connects to your Stripe account through Stripe Connect to read subscription and payment events. RewardSpring is not a payment processor and does not disburse funds to your affiliates, partners, or customers. We calculate and track pending, approved, and paid rewards; the actual movement of money to your recipients runs through your own Stripe account, banking, and records, and is your responsibility. Your use of Stripe is subject to Stripe’s own agreements, and you are responsible for complying with them.

7. Fees and plan changes

RewardSpring bills its own subscription fees through Stripe. You authorize us to charge the plan you select on a recurring basis until you cancel. Fees are stated exclusive of taxes, which you are responsible for unless we are required to collect them. We may change our fees or plans on prospective notice; changes take effect at your next billing cycle. Except as required by law, fees are non-refundable.

8. Custom domains

If you connect a custom domain, you represent that you own or control it. We validate domain ownership before routing traffic and may disable domains associated with suspended or abusive accounts. Certificate issuance and SSL are handled through Cloudflare.

9. Intellectual property and license

The Service, including its software, design, and content, is owned by RewardSpring and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law. All rights not expressly granted are reserved.

10. Customer data and feedback

As between the parties, you own the data you and your programs submit to the Service (“Customer Data”). You grant us a license to host, process, and transmit Customer Data as necessary to provide and improve the Service and as described in our Privacy Policy. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

11. Third-party services

The Service integrates with third-party services such as Stripe, Amazon SES, Supabase, and Cloudflare. Your use of those services is governed by their terms, and we are not responsible for their acts, omissions, or availability.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that reward or conversion calculations will be free of inaccuracies arising from third-party data.

13. Limitation of liability

To the maximum extent permitted by law, RewardSpring and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, or for any commissions or rewards owed by you to your affiliates, partners, or customers, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to RewardSpring for the Service in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You will defend, indemnify, and hold harmless RewardSpring and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your programs, your Customer Data, your use of the Service, your relationships with your affiliates, partners, and customers, or your violation of these Terms or applicable law.

15. Term and termination

These Terms apply while you use the Service. You may cancel at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or pose a security or legal risk, and we may discontinue the Service on reasonable notice. On termination, your right to use the Service ends, and, subject to legal retention requirements and any Data Processing Addendum, we will delete or return Customer Data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including intellectual-property, disclaimer, liability, indemnification, and governing-law provisions) will survive.

16. Modifications to the Service and these Terms

We may update, add, or remove features of the Service. We may also modify these Terms; for material changes we will provide reasonable notice, such as by updating the “Last updated” date and, where appropriate, by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing law and dispute resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Fulton County (Atlanta), Georgia for any dispute not subject to other agreed dispute-resolution procedures. Before filing a claim, the parties agree to attempt in good faith to resolve the dispute informally by contacting hello@getrewardspring.com.

18. Miscellaneous

These Terms, together with our Privacy Policy and any order or addendum, are the entire agreement between you and RewardSpring regarding the Service and supersede prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control (force majeure).
